The company secretary acts as a point of communication between the board of directors and other stakeholders, reporting the company’s performance in a timely and accurate manner on company procedures and developments.
Key Accountabilities:
Meetings:
Convene meetings of the Boards of Directors
Formulate/ prepare agenda for such meetings in consultation with the directors
Receive agenda items from directors, employees and other stakeholders as applicable and ensures that the appropriate agenda items are tabled at Board meeting
Take minutes of board meetings and annual general meetings (as applicable) and circulate to all relevant stakeholders and obtain a sign-off from the board
Communicate the decisions of the board to staff, stakeholders and any third party as required
Contribute to meetings as required and advise members on legal and governance aspects
Registers & Records:
Maintains statutory books, including registers of members, directors and shareholders
Maintain all registers that are applicable for the organisation and make such registers available for audit and inspection as and when needed
Liaison:
Liaisons with external regulators and advisers such as lawyers, Practising Company Secretaries
Liaisons with auditors and make the necessary records available for inspection (Internal, External or Statutory)
Corporate Governance:
To draft, advice and ensure transparent policies, ethical practices and well defined procedures are in place and complied with
To assist and ensure that the organisation complies with its governing document, law and applicable regulations and guidelines (relevant legislations)
Manage conflict of interest between directors and the governance in the best interests of the organisation
Compliance:
Ensures compliance under various applicable acts
Vet and Sign the annual return and Balance Sheet of the company
Files returns with the Registrar of Companies/ Reserve Bank of India at regular intervals as prescribed and ensure 100% compliance to all the provisions of various applicable laws
Develops systems that monitors and ensures organisation complies with all applicable legal and statutory requirements

Minimum Qualifications:

Associate Company Secretary (Completion of Company Secretaryship course offered by ICSI including management training) who has completed SMTP & ROC Training with a membership number

2-3 years of experience as Assistant Company Secretary/ Company Secretary (Preferred)
