    Job purpose:

    EY are market leaders in providing multi-disciplinary services to Multinational companies. One of the service offerings under Global compliance and reporting includes providing assistance to MNEs in managing their global legal entity structures. To provide this service EY have established a support office in our Indian Global Talent Hub (GTH) to help deliver this service globally. 
    The role will involve a combination of working with a team that oversees various aspects of the outsourced company secretary-ship activities and of providing key support on various aspects of the outsourced company secretary-ship engagements in all three phases of the business practice - pursuits, transitions and service delivery. 
    This team will support the Dallas, London and Sydney bid and pursuit team with proposal requests, performing various tasks in the completion of transitions, setting up and maintaining the client technology infrastructure, handling follow-up with E&Y foreign offices regarding missing information and open issues, report generating and special projects, as needed. The role will include owning the service delivery and driving quality and efficiency in the way compliance activities related to CompanySecretary-ship are delivered for a portfolio of clients.

    Job Role:

    The L2 role within the Company secretarial practice in EY is a global role based out of our Bangalore office. The role requires the individual to:
    o Effectively partner with client facing team members across the globe in delivering large multi-national company secretarial engagements
    o Effectively lead a cluster of team members who will support the delivery of services from Bangalore
    o Effectively manage a portfolio of compliance clients and be responsible for the quality of delivery
    o Display leadership and project management ability in managing engagements and projects in a virtual environment

    Key Responsibilities:

    Transition:

    Manage Responsible for activities in the Client transitions process that are supposed to be delivered from the global talent hub. The incumbent will by showcasing use effective Pproject Mmanagement and team management skills and in ensuring that the following tasks are completed by This/her team in an effective and efficient manner:-

    o Teaming with the Client facing team in transition planning- providing inputs to approach, clarifying timelines and expectations
    o Briefing team members on transition timeline and outputs
    o Initiating the set-up of local infrastructure (email inboxes, eRooms, tools & trackers) required for transition and doing the work from Bangalore
    o Responsible for guiding team members in Ccreating and maintaining a contact directory lists based on entity list
    o Setting-up and adding folders to document repository tool Consulting with client facing and cluster team members for setting up the best folder structure for data repository based on client requirements
    o Ensuring knowledge transfer meetings between EY Local offices and local client offices are being tracked efficiently by cluster team members
    o Setting- up and monitoring responses for regional conference calls 
    o Setting up Transition Tracking Report and owning the status reporting process
    o Initiating creation of common mailboxes 
    o Initiating creation of new instances for GEMS tool
    o Responsible for quality of communication between local EY offices and cluster team members using company secretarial knowledge
    o Sending out validation requests and reminders 
    o Completing special projects, as required

    Key Skills Required
    In this phase, the Level 2 resource will provide project management support using company secretarial knowledge for the benefit of a smoother transition:
    o Effective planning support for client facing team in terms of transition plan drafting, identifying GTH resource availability and dependency on activities in the transition plan
    o Guiding cluster team on setting up effective tracking and status reporting mechanism
    o Guiding cluster team to interact effectively with EY company secretarial professionals in other countries using knowledge ofcompanies act and corporate governance practices
    o Status reporting to the engagement team on a periodic basis on status of transition
    Service Delivery 

    Work closely with the CoSec Onsite LeaderEngagement leader & your cluster Tteam to ensure effective service delivery ofcompany secretarial activities contracted by the client are delivered effectively from Bangalore.as below:-

    o Accountable for meeting compliance due dates of your clients entities across the globe:
    Ensuring cluster team is generating monthly compliance calendar for your entities
    Planning resourcing to ensure compliance due dates are met
    Responsible for the quality of documents drafted by GTH for your client
    Guiding team members to effectively work with local EY offices where required to meet due dates
    Responsible for quality of data maintained in the clients legal entity management system
    o Accountable for change requests raised by clients during the service delivery period:
    Understanding the scope of the change request from client facing team
    Guiding team members in terms of planning timelines for meeting change request and setting expectation with client facing team
    Helping team members draft documents (OR coordinate with local EY offices who draft documents) to ensure change request requirements are met
    Ensuring Change request database is maintained and updated to reflect the stats of the change request accurately
    Ensure change is reflected in the clients legal entity management system in the most accurate and timely manner
    o Coaching and mentoring Team Memberscluster team on company secretarial knowledge and virtual teaming with client facing teams and local EY officesto ensure improvement and meeting of requisite quality standards
    o Subject Matter Expert on Enhance knowledge of legal entity management systems like Blueprint, and GEMS 
    o Responsible for to ensure the quality of compliance details of portfolio entities maintained in the legal entity management systemare updated on time, effectively tracked & to extract reports which will highlight key deliverables 
    o Resposible for quality of Ccoordinating efforts of cluster team across the annual compliance and change request process various steps across with stakeholder groups involved in Health check and Annual compliance
    o Coordinating process among various teams during change requests
    o Formatting and sending KPI reports Responsible for status reporting on the engagement to client facing team
    o Ensuring task details are updated in Global Tracker 
    o Responsible for engagement budget, quality of GTH service delivery on your portfolio and mentoring of cluster team members
    o Plan, Lead and mentor team members while delivering special Complete special projects, as required

    Key Skills Required
    In this phase, the Level 2 resource will provide company secretarial expertise and project management support for ensuring effective service delivery:
    Planing to ensure monthly compliance due dates of portfolio entities are met on time
    o Coordination between multiple stakeholders in a virtual environment to ensure change and annual compliance deliverables are filed on time
    o Coaching and mentoring team members on company secretarial knowledge for effective communication with local EY professionals
    o Project management and team management skills

    Company Secretarial Knowledge requirements:

    In order to be successful as a Global company secretarial professional, the candidate must have sound knowledge ofcompanies act of at least one Ensurejurisdiction especially in the areas given below: country requirements are fulfilled by Team on a recurring basis, for example

    o Drafting of minutes for:
    Annual General or Shareholder meetings;
    Board of directors meetings;
    Appointment and resignation of officers;
    Changes in Capital structure;
    Approval of Share transfers;
    o Drafting of official documents:
    Annual Return
    Incorporation
    Advice of change of Directors
    Advice of change of registered office
    Advice of change in capital
    o Sending out notices, such as for Annual General, Special or Extraordinary meetings; 
    Drafting of corporate documents related to decision taken in Board, General Assembly 
    and similar meetings (such as certificate of approval, agreement of dividend distribution, 
    Etc.)
    o Drafting corporate documents for notarization, registration and notification; or drafting 
    agreements and resolutions with various authorities such as Corporate Registers, etc.;
    o Drafting and submitting documents required for incorporation of companies.


    Performance Skills

    o Excellent multitasking and analytical skills and ability to manage multiple projects and resources at the same time.

    Technical skills
    o Qualified Company Secretary or Legal Services Background
    o Minimum 3 years of experience in Professional Firm/Law Firm.
    o Experience of multiple legal / corporate governance frameworks
    o Strong naturally spoken English
    o Strong time management and organizational skills
    o Strong coaching and team management skills
