Company Secretary Degree & LLB Degree with 10 to 20 years of experience in listed manufacturing company.

Hands on experience in handling Company Act related matters & SEBI/Stock Exchange.

Handled as Compliance Officer for ensuring development of all relavent legal provisions under various Laws/Acts.

Hands-on experience on Corporate Governance issues.

Also exposure in Merger, Demerger & Acquisition, vetting legal documents on collaboration, JV, contracting for Indian & foreign companies.

Strong written / verbal communication skills.

Job Description
The incumbent shall be responsible for ensuring that company complies with all Legal & Company Secretarial requirements & maintains standards of corporate governance such as :

•Organising, preparing agendas for, and taking minutes of board meetings and annual general meetings (AGMs);
•Maintaining statutory books, including registers of members, directors and secretaries;
•Dealing with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant company stakeholders;
•Contributing in discussions as and when required, and advising Board members of the legal, governance, accounting and tax implications of proposed policies;
•Monitoring changes in relevant legislation and the regulatory environment, and taking appropriate action;
•Liaising with external regulators and advisers, such as SEBI, bankers, lawyers and auditors;
•Implementing dividends’ payment decisions and managing share option schemes;
•Handling of share issues, mergers and takeovers;
•Developing and overseeing the systems that ensure the company complies with all applicable provisions of various laws.
